Terms of Service

These Terms of Service ("Terms") govern your access to and use of the olivv.ai platform, including all associated services, tools, and content (collectively, the "Service"), provided by THEFOODO LTD (operating as olivv.ai Foodo.ai), incorporated in England and Wales, registered office at 85 Great Portland Street, W1W 7LT, London, United Kingdom.

By registering for or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

olivv.ai provides restaurant operators with tools including AI-powered website building, online ordering, table reservations, loyalty programmes, gift cards, AR menus, and related features. Features may change over time and we will notify you of material changes.

2. Eligibility

You must be at least 18 years old and have authority to enter into these Terms on behalf of your business. By using the Service, you represent that you meet these requirements.

3. Account registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at legal@olivv.ai if you suspect unauthorised access to your account.

4. Subscription and payment

We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing. Refunds are not provided for partial months or unused features, except where required by law.

Access to the Service is provided on a subscription basis. Current pricing is displayed on olivv.ai/pricing. You will be billed monthly or annually as selected at sign-up. All fees are exclusive of VAT where applicable.

5. Free trial

We offer a 14-day free trial with no credit card required. At the end of the trial period, continued access requires a paid subscription. We reserve the right to modify or end the free trial offer at any time.

6. Your content

You retain ownership of all content you upload to the Service, including menus, images, and brand assets. By uploading content, you grant us a non-exclusive, royalty-free licence to use, host, and display that content solely for the purpose of providing the Service.

You are responsible for ensuring that your content does not infringe third-party intellectual property rights, violate applicable law, or contain harmful, misleading, or unlawful material.

7. Acceptable use

• Use the Service for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Resell, sublicense, or distribute the Service without our written consent
• Upload content that is defamatory, obscene, or infringes third-party rights
• Use the Service to send unsolicited marketing communications

8. Intellectual property

The olivv.ai platform, including all software, design, branding, and documentation, is owned by THEFOODO LTD and protected by intellectual property law. Nothing in these Terms transfers ownership of our intellectual property to you.

9. Third-party integrations

The Service integrates with third-party services including POS providers, payment processors, and social platforms. Your use of these services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Limitation of liability

To the maximum extent permitted by law, THEFOODO LTD's total liability to you in connection with the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless THEFOODO LTD and its directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your content, or your breach of these Terms.

12. Termination

Either party may terminate the subscription at any time. You may cancel via your account settings. We may suspend or terminate your account immediately if you breach these Terms or if we are required to do so by law.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory local law in your jurisdiction provides otherwise.

14. Changes to these terms

We may update these Terms from time to time. We will give you at least 30 days' notice of material changes. Continued use of the Service after the notice period constitutes acceptance of the updated Terms.
